1. ASSET DESCRIPTION AND SALE

(c) No Violation: The execution, delivery, and performance of this Agreement by Seller and the consummation of the transactions contemplated hereby do not and will not: (i) violate any law, regulation, judgment, or order applicable to Seller; (ii) result in a breach of, or constitute a default under, any agreement, contract, or instrument to which Seller is a party or by which Seller or the Asset may be bound or affected; or (iii) require any consent, approval, authorization, or other order or action of any court, governmental authority, or other entity or person.

(d) Disclosure of Defects: Seller has disclosed to Buyer all known defects, malfunctions, or issues with the Asset, including but not limited to the following specific defects: [LIST OF KNOWN DEFECTS OR "NONE KNOWN"].

4.2 Asset Condition and Disclaimer of Warranties

(a) As-Is Condition: Except as expressly set forth in this Agreement, the Asset is being sold and transferred to Buyer "AS IS, WHERE IS," without any representations or warranties, express or implied, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Buyer acknowledges that it has had the opportunity to inspect the Asset and is relying solely on its own investigation and not on any representations or warranties made by Seller except as expressly set forth in this Agreement.

No amendment, supplement, modification, waiver, or termination of this Agreement shall be binding unless executed in writing by the Party to be bound thereby.

7.5 Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic signatures and facsimile signatures shall be deemed original signatures for all purposes.

7.6 Notices

All notices, requests, demands, and other communications required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, when sent by confirmed electronic mail, when sent by courier with written confirmation of receipt, or five (5) business days after being mailed by certified or registered mail, return receipt requested, with postage prepaid, to the Parties at their respective addresses set forth above, or at such other address as either Party may designate by written notice to the other Party.

7.7 Assignment

Neither Party may assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned, or delayed.

7.8 No Third-Party Beneficiaries

This Agreement is for the sole benefit of the Parties hereto and their respective successors and permitted assigns, and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.

7.9 Survival

The representations, warranties, covenants, and agreements of the Parties contained in this Agreement shall survive the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.
