How to start an LLC in New York

Forming a New York LLC generally involves choosing an available name that includes "Limited Liability Company," "LLC," or "L.L.C.," and filing Articles of Organization with the New York Department of State. The articles designate the Secretary of State as the LLC's agent for service of process; a registered agent is optional.

New York also has a publication requirement. Within 120 days after the articles take effect, each new LLC must publish a notice in two newspapers designated by the county clerk where its office is located, one daily and one weekly, once a week for six weeks, and then file a Certificate of Publication with the Department of State. An LLC that misses this deadline generally has its authority to do business suspended.

The members must also adopt a written operating agreement, which may be entered into before, at the time of, or within 90 days after filing the articles. It is an internal document and is not filed with the Department of State.

You'll also want to consider applicable tax obligations, required licenses, and other documents relevant to your business.

DocDraft helps you organize the information and prepare relevant legal documents as you work through these decisions.
